Terms of Service

These Terms of Service govern your access to and use of Korda. They describe what Korda does, how it may be used, the responsibilities of the organisations and users who use it, and the limits of what Korda provides.
1.About Korda
Korda is a supplier-resolution and payment-control workflow platform. It helps organisations document supplier incidents, organise supporting evidence, record requested and agreed remedies, manage payment-control recommendations, and track operational and financial closure for each case.
Korda is a workflow and record-keeping tool. It is not a bank, insurer, legal representative, adjudicator or payment processor.
2.Acceptance of the Terms
By creating a Korda account, accessing the application, or using any part of the Korda service, you agree to these Terms of Service and to the Privacy & Data Policy. If you do not agree, do not use Korda.
3.Eligibility and Authority
To use Korda you must:
- Be legally capable of entering into a binding agreement in your jurisdiction.
- Be authorised to act on behalf of the organisation you register or use Korda for.
- Provide accurate, current and complete account information.
4.Organisation Accounts
- Accounts may be created for and used on behalf of an organisation.
- The first user to register an organisation may be assigned the owner role.
- The organisation is responsible for the acts and omissions of its authorised users.
- You must keep your account credentials confidential and secure.
- You must promptly report any suspected unauthorised access or security incident to us.
5.Permitted Use
Korda may be used for legitimate supplier-quality, sourcing, operations, finance and commercial-resolution activities carried out by your organisation.
6.Prohibited Use
You must not:
- Use Korda for any unlawful purpose or in violation of any applicable law.
- Upload or transmit malicious files, code, viruses or other harmful material.
- Attempt to gain unauthorised access to Korda, its infrastructure or any account.
- Access, view or attempt to view records belonging to another organisation.
- Interfere with, disrupt or overload the platform or its underlying services.
- Upload content you do not have the right to use, share or disclose.
- Use the platform to mislead suppliers, insurers, courts, banks, regulators or any other third party.
- Copy, decompile, reverse engineer or resell the application, in whole or in part, without our prior written permission.
7.Customer Data
- Your organisation retains ownership of the information and files it uploads to Korda.
- You grant Korda permission to process that data solely to operate, secure, maintain and improve the service for you.
- You are responsible for ensuring you have the right to upload supplier, employee, contact and commercial information into Korda.
- You should avoid uploading personal data that is not necessary for the incident or workflow.
8.Evidence and Uploaded Files
- Evidence may include photographs, purchase orders, invoices, inspection reports, supplier communications and settlement records.
- You remain responsible for the accuracy, legality and completeness of any evidence uploaded to Korda.
- Korda does not independently verify whether uploaded evidence is genuine.
- The existence of a file in Korda does not, by itself, prove legal authenticity or admissibility in any forum.
9.AI-Assisted Features
- Korda may use AI to organise information, summarise evidence, identify missing items and suggest workflow steps.
- AI output may be incomplete, inaccurate, out of date or otherwise incorrect.
- All AI output must be reviewed by a qualified human before it is relied on.
- You remain responsible for all operational, legal, sourcing, commercial and financial decisions arising from your use of Korda.
- AI output is not legal, financial, insurance, compliance or other professional advice.
10.Payment-Control Recommendations
- Korda may help you calculate or document recommended payment holds, deductions, supplier credits or finance approvals.
- Korda does not process payments.
- Korda does not control your bank accounts, treasury systems or supplier funds.
- All payment-control recommendations require review and approval by your organisation's authorised finance personnel.
- You remain responsible for compliance with your contracts, payment terms and applicable laws.
11.Protection Readiness
Protection Readiness is an operational evidence-readiness assessment only. It is:
- Not insurance.
- Not underwriting.
- Not a confirmation of coverage or eligibility for any insurance product.
- Not an approval of any claim.
- Not a guarantee of recovery, reimbursement or compensation.
12.Demo Workspace
- All data shown in the demo workspace is fictional.
- The demo workspace is read-only.
- Information shown in demo mode must not be treated as real business, legal, commercial or financial information.
- Results shown in demo mode do not represent expected customer outcomes.
13.Third-Party Services
Korda relies on third-party infrastructure and service providers to deliver its service. These may include, for example, providers of:
- Cloud hosting
- Database and authentication services (Korda currently uses Supabase)
- Secure file storage
- Email delivery
- Analytics and error monitoring
- AI-service providers
The list of providers may change as the service evolves. Your use of Korda includes use of these underlying services on the terms Korda has agreed with each provider.
14.Intellectual Property
- Korda's software, design, branding, documentation and related materials are owned by Korda or its licensors and are protected by intellectual-property laws.
- Customer-uploaded data remains owned by the customer.
- Subject to these Terms, you are granted a limited, non-exclusive, non-transferable right to access and use the Korda service.
15.Availability and Changes
- Korda is currently offered as an MVP and will continue to change.
- Features may be added, removed, modified or replaced at any time.
- Temporary interruptions may occur due to maintenance, upgrades or third-party issues.
- Korda does not guarantee uninterrupted, error-free or continuously available service.
16.Fees
Pricing and paid-plan terms for Korda will be displayed separately and will require your acceptance before any charge is applied. This document does not set out the current pricing.
17.Suspension and Termination
Korda may suspend or terminate access to some or all of the service for reasons including:
- Security risks, incidents or investigations.
- Suspected illegal or fraudulent activity.
- Abuse of the platform, other users or third parties.
- Non-payment once paid plans are introduced.
- Material violation of these Terms.
You may stop using Korda at any time and request that your account and workspace be deleted.
18.Disclaimers
Korda is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory or otherwise, to the maximum extent permitted by applicable law. In particular, Korda does not guarantee:
- The performance, conduct or solvency of any supplier.
- The successful resolution of any dispute or incident.
- The recovery of any money, credit or replacement goods.
- The acceptance of any evidence by any third party.
Korda is not a substitute for advice from qualified legal, financial, insurance, tax, compliance or other professionals.
19.Limitation of Liability
To the maximum extent permitted by applicable law, Korda, its affiliates, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity arising out of or in connection with your use of Korda.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
20.Indemnity
You agree to indemnify and hold Korda and its affiliates harmless from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to your misuse of Korda, your unlawful upload or use of content, or your violation of these Terms or of any third-party rights.
21.Governing Law
These Terms and any dispute or claim arising out of or in connection with them are governed by [Insert governing law and jurisdiction before launch].
22.Changes to the Terms
Korda may update these Terms from time to time. Material changes will be communicated by updating the effective date at the top of this page and, where appropriate, by an in-product notice. Continued use of Korda after changes take effect indicates acceptance of the updated Terms.
